1. Hot! Search Marketing (hereafter called Contractor) agrees to provide the
following products and services to the (hereafter called Client):
A. SEO Web Design:
Contractor will assign a dedicated account manager to perform the following
services for the Client:
1). Create a premium seo web site filled with professionally designed ad copy.
Said content will be optimized for Google, Yahoo! & MSN and also for
international web sites (e.g.,Baidu), when applicable.
2). Perform ongoing link building campaigns for the site to increase relevancy
of site to search engines.
3). Perform ongoing search engine analysis and optimization so that Client
retains premium ranking on the results.
4). Perform ongoing competitive research and delinking services.
Contractor will ask webmasters to remove competitor backlinks, lowering
competitor’s position in relation to Client’s in the search results for relevant
commercial keywords and phrases.
Contractor will also confer by phone, email or in person with management to get
their view of the issues facing Client at their request or on an annual basis.
B. Pay Per Click Advertising:
Contractor will perform the following services for the Client:
1)
Contractor will design, set up and manage PPC campaigns for Client on Google,
Yahoo & MSN, and other search engines if applicable.
2)
Client will be responsible for specifying a monthly ad spend budget with
Contractor, and paying the search engines directly for charges accrued.
Client will not pay Contractor for pay per click advertising charges.
3)
Contractor will design and manage pay per click advertising in a way that
reduces pay per click costs through intelligent management.
4)
Contractor will reduce incidences of click fraud through web data monitoring and
intelligent PPC management. This
includes banning IP addresses of competitors that are clicking on your ads
repeatedly. Contractor agrees to
share this data with Client if they would like to pursue legal action against
competitors engaging in illegal click fraud activities.
C. Contractor will install Google Analytics software onto Client’s web site.
Contractor agrees to provide Client with monthly reports of web site data and
statistics that may include the following information:
1)
Number of unique visitors.
2)
Location of visitors.
3)
Search phrases used by visitors.
4)
How long visitors remained on site.
D. Contractor will install at Client’s request LiveChat and RequestCall.
These services enable Client to engage in chat sessions with web visitors
for Live Help and customer service.
Client also has the option to engage visitors with questions or comments.
The Request Call feature enables the visitor to have Client call them.
Their number is sent to Client’s cell phone and email immediately.
If Client chooses to implement these services, Client must agree to the
following terms:
1) Client agrees to pay $25.00 a month for these additional services.
2) Client may cancel LiveChat services at anytime.
The initial work will be completed no later than fourteen business days, and
will be conducted by Contractors' account manager, (manager’s or your name
here).
It is understood that circumstances arising during the project may require the
activities described above to be delayed at Contractor’s discretion if
additional research or intelligence is required of the competitive environment.
Such changes will be based on mutual agreement of both parties, which may
be recorded as an addendum to this agreement, or as a letter from one party to
the other.
2. Client agrees to:
A. participate as requested in these activities. This includes calling, meeting,
and providing information requested by Contractor.
B. pay Contractor a fee of ten dollars per lead generated via the website.
Leads are defined as phone calls, emails or LiveChat sessions. Client
will retain the right to dispute charges three consecutive times and amend an
invoice at their discretion for those three events, but agrees to pay Contractor
all charges associated with an invoice thereafter until disputed charges are
approved by Contractor. Contractor
retains the right to deny or extend credit for disputed charges after an
investigation of disputed invoice after any such three term event.
Client will also be responsible for paying all charges associated with telephone
usage through the toll free function on the site, as well be directly
responsible for payments to Google, Yahoo & MSN should they choose to implement
the optional service of PPC advertising.
3. Contractor may terminate or amend this agreement at their discretion, but
must provide 90 day notice of amendments or 30 day notice of termination to
Client. Client may terminate this
agreement at their discretion, but must cease from utilizing our work or using
work of an imitative nature on Client web site (including graphics, layout and
content) in place of our work for a period of three years from date of contract
termination. Client also retains
the option to switch from this service plan to our corporate plan at anytime,
and to include additional features such as pay per click advertising.
